The terms that govern your use of blackframephrasestudio.com and any design services provided by Blackframe Phrase Studio LLC.
These Terms of Service ("Terms") govern your access to and use of blackframephrasestudio.com (the "Site") and any design services provided by Blackframe Phrase Studio LLC ("Blackframe Phrase," "we," "us"). By accessing the Site or engaging our services, you agree to be bound by these Terms.
Specific services, deliverables, timelines, and pricing are defined in a separate written proposal or statement of work ("SOW") signed by both parties. In the event of a conflict between these Terms and a signed SOW, the SOW governs for that engagement. Package descriptions on our Pricing page are illustrative starting points; final scope and pricing are confirmed in your SOW after discovery.
Each package includes a defined number of concept directions and revision rounds, as stated in your SOW (typically two structured rounds). Requests beyond the agreed scope, including new concept directions after approval, will be quoted separately and confirmed in writing before work begins.
Project-based engagements conclude upon delivery and client acceptance of the agreed deliverables. Ongoing partnerships run for the minimum term stated in your SOW and renew month-to-month thereafter unless either party provides 30 days' written notice. Cancellation terms, including handling of work in progress, are described in our Refund & Revision Policy.
Upon full payment, clients own the final approved deliverables created specifically for them under an SOW, including final logo files, UI designs, and website code built for the client. Blackframe Phrase Studio retains ownership of its pre-existing tools, templates, and proprietary methods used to produce the work, and grants clients a non-exclusive license to use them solely as part of the delivered work. Unless a client opts out in writing, we may display completed work (excluding confidential materials) in our portfolio and marketing.
Each party agrees to protect the other's confidential information with reasonable care and not disclose it to third parties except as necessary to perform the services or as required by law. This obligation survives termination of the engagement.
Blackframe Phrase Studio will perform services in a professional and workmanlike manner consistent with industry standards. Except as expressly stated in an SOW, the Site and services are provided "as is" without warranties of any kind, express or implied, except as required by applicable law. We do not guarantee specific business outcomes, such as user adoption or sales, resulting from design work.
To the maximum extent permitted by law, Blackframe Phrase Studio's total liability arising out of an engagement will not exceed the total fees paid by the client for the services giving rise to the claim. Neither party will be liable for indirect, incidental, or consequential damages, including lost profits, even if advised of the possibility of such damages.
Each party agrees to indemnify and hold the other harmless from third-party claims arising from its breach of these Terms, its gross negligence or willful misconduct, or, in the client's case, from content or materials the client provided for use in the design work.
You agree not to misuse the Site, including attempting unauthorized access, scraping content without permission, or transmitting malicious code. All content on the Site is owned by Blackframe Phrase Studio or its licensors and may not be reproduced without written permission.
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Any dispute will first be addressed through good-faith negotiation and, if unresolved, submitted to the exclusive jurisdiction of the state and federal courts located in Lake County, Colorado.
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with any signed SOW, constitute the entire agreement between the parties. Questions can be directed to design@blackframephrasestudio.com.
